Terms of Service
Last updated: August 17, 2026 · Published by American Coastal Holdings, LLC.
1. Agreement
These Terms govern your use of SprocketSuite software and related services provided by American Coastal Holdings, LLC (“we”, “us”). Your rights to the software itself are set out in the License; these Terms cover the service around it. Where the two conflict on licensing, the License controls. By installing, accessing, or paying for SprocketSuite, you accept these Terms.
2. What the software is
SprocketSuite is shop-management software that runs primarily on your own computers and stores your shop records in your browser on those computers. Optional cloud sync copies your records to a hosted database so multiple devices in your shop stay current. Some features depend on third-party services described in section 6.
3. Support
Support is provided by email at [email protected] and by phone at (904) 415-9478, during normal business hours, US Eastern time. We aim to acknowledge requests within one business day. We do not offer a guaranteed response time, an uptime commitment, or 24/7 coverage unless we have agreed one with you in a separate signed agreement.
4. Fees
Fees, billing period, and payment method are those stated on your invoice or order form. Fees are payable in advance and are non-refundable except where required by law or expressly agreed in writing. We may change fees for a renewal term with at least 30 days’ written notice before that term begins. Amounts unpaid 30 days past due may result in suspension after we give you notice and a chance to cure.
5. Your responsibilities
You are responsible for: keeping your own backups (the software provides a Save Backup function, and you should use it on a regular schedule and keep a copy off the machine); the accuracy of records you enter; who you give staff logins and PINs to and removing access when someone leaves; keeping the devices running the software physically secure and up to date; and using the software lawfully, including tax, employment, consumer-protection and payment-card rules that apply to your shop.
6. Third-party services
Card payments are processed by Square under your own merchant agreement with Square. We are not a payment processor, we do not hold funds, and we are not a party to your relationship with Square. Optional cloud sync and hosted access rely on Supabase and Cloudflare. These providers operate under their own terms, and outages or changes on their side can interrupt the corresponding features. We are not liable for the acts, omissions, or availability of third-party services.
7. Payment card responsibility
Your shop’s PCI DSS obligations are determined by every way you accept cards and by your acquirer’s rules, not by this software. SprocketSuite has not been independently assessed and we claim no assessment level or certification for it. The compliance panel inside the software is a self-check to help you configure the product, not an attestation. Confirm your obligations with your acquirer or a qualified assessor before signing anything.
8. Availability
The locally installed software runs without an internet connection. Cloud sync, hosted access, and assistant features depend on network and third-party availability and are provided on a best-efforts basis. We may perform maintenance that temporarily interrupts hosted features, and will give advance notice where practical.
9. Warranty disclaimer
Except where a warranty cannot be excluded by law, SprocketSuite is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted or error-free, or that it will meet a specific regulatory or accounting requirement of your business. See also the Disclaimer in the License.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, lost revenue, or lost or corrupted data. Our total aggregate liability arising out of or relating to SprocketSuite will not exceed the fees you paid us in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations, or to liability that cannot be limited by law.
11. Term, termination, and your data
Either party may terminate at the end of the then-current billing period on written notice. We may suspend or terminate for non-payment after notice, or immediately for use that breaks the License restrictions or the law. Your shop records remain yours. Before termination takes effect you can export everything with Save Backup, and on request within 30 days after termination we will help you retrieve data still held in hosted storage. After that window we may delete it.
12. Changes to these Terms
We may update these Terms. For material changes affecting an active paid subscription, we will give notice by email or in the product before they take effect for your next billing period. Continuing to use SprocketSuite after that date means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The state and federal courts located in Duval County, Florida have exclusive jurisdiction, and each party consents to venue there.
